Articles of Association of Women’s Government

In accordance with the provisions set out in Articles 6. and 9. of the Law on the Association of Citizens into Associations, Social Organizations and Political Associations that are formed for the Territory of the Socialist Republic of Yugoslavia («Official Gazette of the SFRY», No. 42/90 and «Official Gazette of the SRY», No. 16/93, 31/93, 41/93, 50/93, 24/94, 28/96 and 73/200), Constituent Assembly of the Association of Citizens, the Women’s Government, at a meeting held on 7th December, 2006 in Belgrade, adopted

Articles of Association of Women’s Government

Article 1. - Objectives

Women’s Government is an association of both female and male citizens established as a non-party, non-Governmental and non-profit association, with the purpose of creating a society based on equality, improving social status of women by achieving their parity of participation in state authorities in acordance with modern principles and practices, promoting women’s expert potential, stimulating critical approach to everyday reality, constructive communication and respect for human rights, as well as influence on public policies.

Article 2. - Scope of Activity

In order to achieve its objectives, Women’s Government shall first of all:

1. launch initiatives for the improvement of women’s status as regards decision-making;
2. collect and process scientific and technical literature in the area of women’s participation in decision-making and achievement of gender equality;
3. organize expert groups, symposiums, workshops, forums, conferences and other types of training in this area;
4. publish books and other publications in the areas of importance for the achievement of the objectives of its operations;
5. organize activites for the purpose of educating and acquainting general public with the subjects of importance for the achievement of the objectives of this Association;
6. cooperate with universities, professional associations and other organizations, at home and abroad, dealing with the subjects of interest for the operation of the Association.

Article 3. - Name and Seat

1. The name of the Association in Serbian language is: Ženska vlada, and in English language: Women’s Government.
2. The seat of Women’s Government is in Belgrade.
3. Women’s Government performs its activities on the territory of the Republic of Serbia.

Article 4. - Membership

1. Any person supporting the objectives and the Articles of Association of this Association could become a member of Women’s Government.
2. The decision regarding the admission of new members is made by the Managing Board, after a reasoned proposal submitted by five members of the Association. Membership is gained upon favourable decision being made by the Managing Board, by signing admission form.
3. Any member can resign their membership by submitting a written statement of resignation to the Managing Board.
4. Memebership in Women’s Government shall be terminated due to prolonged inactivity of a member, or due to an activity which is in conflict with value principles of Women’s Government, upon a proposal submitted by three members of the Association.
5. A decision on termination of membership is made by the Assembly.

Article 5. - Members’ Rights and Duties

1. A member is entitled to:

(1) participate in formulating and achieving objectives of Women’s Government, on equal terms with other members;
(2) directly participate in the decision-making process in the Assembly, as well as decide via Women’s Government bodies;
(3) elect and be elected into Women’s Government bodies;
(4) be timely and fully informed of the operations and activities of Women’s Government.

2. A member is obliged to:

(1) actively contribute to the achievement of the objectives of Women’s Government;
(2) participate, according to her/his area of interest, in the activities of Women’s Government;
(3) pay membership fees;
(4) perform other jobs assigned to her/him by Managing Board or Assembly of Women’s Government.

Article 6. - Assembly

Women’s Government bodies are: Assembly, Managing Board and Supervisory Board.

Article 7. - Bodies

1. Women’s Government Assembly is comprised of all members of Women’s Government.
2. The Assembly meets regularly once a year. An extraordinary Assembly session can be convened upon a reasoned proposal submitted by the Managing Board, as well as upon a written initiative submitted by at least one third of members.
3. Assembly:

(1) adopts Articles of Association, as well as amendments to the Articles of Association;
(2) generates plan and programme of activities;
(3) considers and adopts, at least once a year, a report submitted by Managing Board;
(4) considers and adopts finacial plan and report;
(5) elects and relieves of duty memebers of Managing Board.

4. The Assembly’s decisions are valid if minimum twelve members are present.
5. The Assembly makes decisions by the majority vote of the members present. For any amendment of the Articles of Associations to be passed, two-thirds majority of votes of the members present is required.

Article 8. - Managing Board

1. Managing Board is the executive body of Women’s Government, which ensures achievement of the objectives of the Association, stipulated by these Articles of Association and Assembliy’s decisions.
2. Managing Board consists of five members, who are elected and relieved of duty by the Assembly.
3. All members of Managing Board are eligible for the posts of President of Managing Board, Deputy President of Managing Board and Secretary General of Managing Board, and the election is made by the Managing Board. President of Managing Board represents and acts on behalf of the Association at legal matters, and has rights and duties of an executive financial authority. Deputy President and Secretary General are authorized, in the absence of President, to represent the Association and sign all financial and monetary documents on behalf of the Association.
4. The term of office for the members of the Managing Board is two years and they can be reelected to the same position.

Article 9. - Managing Board Scope of Activity

1. Managing Board shall:

(1) manage the operations of Women’s Government between two Assembly meetings and make decisions aimed at achieving the objectives of Women’s Government;
(2) organize regular performance of Women’s Government activities;
(3) allocate particular assignments to members of Managing Board and individual members of the Association;
(4) form teams for the implementation of the Plan and programme of Women’s Government operations, as well as name project coordinator;
(5) make financial decisions;
(6) decide on opening and closing regional and local representative and branch offices of Women’s Government;
(7) decide on forming working bodies of Women’s Government;
(8) decide on initating amendments to the Articles of Associations, in accordance with their provisions;
(9) decide on issues which are beyond the scope of other bodies of the Association.

2. Managing Board’s decisions are valid if at least half of its members are present, and decisions are made by the majority vote of the members present.

Article 10. - Supervisory Board

1. Supervisory Board controls financial transactions of Women’s Government and without delay informs Managing Board of the irregularities noted.
2. Supervisory Board consists of three members who are elected by the Assembly.
3. The term of office for the members of Supervisory Board is two years and they can be reelected.
4. Supervisory Board submits a report at every Assembly meeting.

Article 11. - Openness to the Public

1. The operations of Women’s Government are public.
2. Working meetings of Women’s Government can be attended by all members of Women’s Government.
3. Managing Board is responsible for the regular notification of members as well as general public of the operations and activities of Women’s Government, directly or by means of internal publications, that is, by means of public statements.

Article 12. - Cooperation with Other Organizations

1. In order to achieve its objectives, Women’s Government shall establish cooperation with other professional, scientific, educational and other associations and organizations, at home and abroad.
2. Women’s Government can join international associations for the improvement of women participation in decision making and achievement of gender equality, whereof a decision is made by the Assembly.
3. Accession to international organizations is registered at the competent authorities within 15 days, as stipulated by law.

Article 13. - Funding

Women’s Government’s funding is provided by membership fees, donations, projects and other sources, as stipulated by the law.

Article 14. - Termination of Operations of Women’s Government

1. Women’s Government terminates its activities upon a decision made by the Assembly, when the conditions required for the achievement of the objectives of Women’s Government cease to exist, as well as in other cases stipulated by law.
2. In case Woman Government terminates its activites, its property shall pass to another non-profit organization in accordance with the decision of the Assembly of the Association.

Article 15. - Seal

Women’s Government has two round seals; one bears the inscription: "ŽENSKA VLADA Beograd", in Serbian language, and the other one: "WOMEN’S GOVERNMENT Serbia", in English language.

Article 16. - Coming into Force of the Articles of Association

These Articles of Association shall come into force on the day of their adoption by the Assembly of the Women’s Government Association, and they will be applicable starting from the day upon which the Association is registered at the competent authorities.
